Corporate Transparency Act (CTA)

ALERT! The new federal Corporate Transparency Act goes into effect January 1, 2024. This Act requires corporations, partnerships and other business entities to submit a form providing certain Beneficial Ownership Information (BOI).

This is a federal law for which the U.S. Financial Crimes Enforcement Network (FinCEN) is fully responsible for administering. (FinCEN is a division of the U.S. Department of the Treasury.)

As the CTA is a federal law, the Office of the Arizona Secretary of State has no role in administering or monitoring compliance to this law. As such, all required forms are filed with FinCEN. You do not need to file a BOI form with the Office of the Arizona Secretary of State, nor do you need to let us know that you have filed the information with FinCEN.

New business entities will be required to submit these forms within 90 days of the business entity formation. Additionally, existing entities formed before January 1, 2024, are required to submit forms by December 31, 2024.
